By accessing our website and using our song critique services, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before using our services.

1. Acceptance of Terms

By using the services provided by Nashville Song Critique, you agree to these Terms and any modifications that may be made to the Terms from time to time. If you do not agree to any part of these Terms, you must not use our services.

2. Services offered

Nashville Song Critique provides a platform for customers to upload their songs and receive critiques from independent contractor Mentors in the form of text or audio files, in exchange for a fee.

3. Account registration

You may need to register an account to access some features of the service. You are responsible for safeguarding your account password and for all activities that occur under your account.

4. Sales and Refund Policy

All sales made through Nashville Song Critique are final. Orders cannot be refunded or changed after they have been submitted. The only exception is for critiques purchased with a paid expedited timeframe that are delivered after the specified timeframe, in which case the expedite charge will be refunded. For the purpose of these Terms and this website, “days” refers to business days, defined as Monday through Friday, excluding federal holidays.

5. User submissions and reviews

You retain ownership of both the songs you submit for critique and any text or audio review returned to you as part of our service. Nashville Song Critique respects your ownership rights and will not use the submitted songs or the reviews for any purpose outside the scope of your requested review. Furthermore, you grant Nashville Song Critique a non-exclusive, royalty-free license to use, reproduce, and distribute your songs solely for the purpose of providing the critique services within the agreed scope.

6. Fair use and purpose of transmission

The transmission of songs and the receipt of critiques through our service are intended for “fair use” educational and mentorship purposes only. This arrangement is designed to foster a learning environment and provide constructive feedback to you as the content creator, without infringing on copyright or ownership rights.

You are permitted to distribute your review on social media or use it as you choose, provided such use is in accordance with these Terms and does not infringe on any copyright or ownership rights.

7. Independent Contractor Mentors

The reviews and critiques provided are the opinions of independently contracted Mentors and do not reflect the opinions of Nashville Song Critique. Nashville Song Critique is not responsible for the content of the critiques.

8. Intellectual property

The service, including all material therein, is protected by copyright and other intellectual property laws. You agree not to copy, modify, or distribute any part of the service without explicit permission from Nashville Song Critique.

Users may distribute their reviews on social media or as they choose, recognizing that such distribution must not violate the rights of any third party or these Terms.

9. Prohibited use

You agree not to use the service for illegal purposes, to infringe on any third party’s rights, to upload malicious content, or in any way that could harm the service or other users. 

By purchasing a review, you agree not to use the review to defame, harass, or make libelous statements against Nashville Song Critique or the independent Mentor.

10. Indemnification

You agree to defend, indemnify, and hold harmless Nashville Song Critique, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the service, or your violation of these Terms.

11. Limitation of liability

Nashville Song Critique will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

12. Changes to Terms

Nashville Song Critique reserves the right to modify these Terms at any time. We will notify users of any changes by updating the date at the top of these Terms. Your continued use of the service after such changes constitutes your agreement to the new Terms.

13. Governing law

These Terms and any action related thereto shall be governed by the laws of the State of Tennessee, USA, without regard to or application of its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tennessee for the resolution of any disputes arising out of or related to these Terms or the service.

14. International use

Nashville Song Critique is based in the United States and governed by United States law. We make no representations that our service is appropriate for use in other locations. If you access or use the service from outside the United States, you do so at your own risk and are responsible for compliance with local laws of your jurisdiction.

Despite the global nature of the Internet, you agree to comply with all local laws regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

In the event of any violation of these Terms and Conditions by a user accessing the service from an international jurisdiction, Nashville Song Critique reserves the right to take steps to enforce these Terms to the fullest extent permitted by law in the user’s jurisdiction. This may include engaging local authorities, pursuing legal action in the user’s local jurisdiction, or other measures deemed necessary and appropriate by Nashville Song Critique to protect its rights and property.

You expressly agree that in the case of a dispute arising from or related to your use of our service outside of the United States, the resolution process outlined in the Governing Law and Dispute Resolution sections of these Terms shall still apply, but Nashville Song Critique may seek to enforce any judgment or legal order in any jurisdiction worldwide to the extent allowed by the law of that jurisdiction.
